Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Exhibix's website and application (the "Service"), operated by Exhibix ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a law firm or organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Exhibix provides browser-based tools for organizing trial exhibits, including exhibit numbering, Bates stamping, evidence sticker generation for various court formats, document grouping, and related document management features (the "Service").

3. Accounts & Eligibility

You must provide accurate and complete information when creating an account and keep your login credentials secure. You are responsible for all activity that occurs under your account, including activity by team members you invite.

The Service is intended for use by legal professionals and organizations, and is not directed to individuals under the age of 18.

4. Subscriptions & Billing

• Paid plans are billed monthly based on the number of seats in your plan.
• New accounts include a 14-day free trial. You will not be charged during the trial period.
• Subscription fees are billed in advance and are non-refundable, except as required by law or as we may otherwise determine on a case-by-case basis.
• You may upgrade, downgrade, or cancel your subscription at any time from your Account settings. Downgrades that would put you below your current number of active seats require removing team members first.
• We reserve the right to change our pricing with reasonable advance notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable rule of professional conduct;
• Upload content that you do not have the right to upload, including content that infringes the intellectual property or privacy rights of others;
• Attempt to gain unauthorized access to the Service, other accounts, or related systems;
• Interfere with or disrupt the integrity or performance of the Service;
• Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law;
• Share your account credentials with individuals outside your organization beyond your licensed seat count.

6. Your Content

You retain all rights to the documents, case materials, and other content you upload to the Service ("Your Content"). We do not claim ownership over Your Content. You grant us only the limited rights necessary to operate the Service for you, such as processing Your Content within your browser session to apply exhibit numbers, Bates stamps, and evidence stickers.

You are solely responsible for Your Content, including its legality, accuracy, and your right to use it, and for complying with any confidentiality obligations, protective orders, or rules of professional conduct that apply to it.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that exhibit numbering, Bates stamps, or evidence sticker formats will satisfy the requirements of any particular court, judge, or jurisdiction. You are responsible for reviewing and verifying all output before use in any legal proceeding.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXHIBIT ORGANIZER AND ITS OWNERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Termination

You may cancel your account at any time from your Account settings. We may suspend or terminate your access to the Service if you violate these Terms, fail to pay applicable fees, or if we discontinue the Service, with notice where practicable.

10. Changes to These Terms

We may update these Terms from time to time. We will indicate the date of the most recent revision at the top of this page. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles, unless otherwise required by applicable law.
